1.0 ABOUT THE COMPANY

1.1 OVERVIEW

Media Prima Berhad also known as Media Prima, a company listed on the Main Board of Bursa Malaysia, is Malaysia's leading integrated media investment group. The group operates primarily in Malaysia and Republic of Ghana. It is headquartered in Petaling Jaya, Malaysia. It currently owns 100 per cent equity interest in TV3, 8TV, ntv7 and TV9.

Furthermore, Media Prima now owns more than 90 per cent equity interest in The New Straits Times Press (Malaysia) (NSTP) Berhad, one of Malaysia's largest publisher which publishes three national newspaper such as The New Straits Times, Berita Harian and Harian Metro.

Media Prima also owns three radio networks like Fly FM, Hot FM and One FM. Other cross Media Prima includes content creation such as event and talent management. The Group's leadership position in the Outdoor business is represented by Big Tree Outdoor Sdn Bhd, UPD Sdn Bhd, Right Channel Sdn Bhd, Kurnia Outdoor Sdb Bhd and Jupiter Outdoor Network Sdn Bhd.

The Group has strong online presence through its digital communications and broadcasting subsidiary, Alt Media, via the Lifestyle Portal gua.com.my and the newly launched TonTon.com.my, a cutting-edge video portal with HD-ready quality viewing experience that offers the individualism of customized content and interactivity of social networking. Outside of Malaysia, Media Prima has a controlling stake in TV3 network Ltd, Ghana's leading private television station. Media Prima has been acquired by Kumho Asiana Group in 1984.

Media Prima is a based investment holding company, which principally offers procurement services for its subsidiaries. The company is principally engaged in commercial television and radio broadcasting, and general media advertising activities. In addition to that, the company is also engaged in producing motion picture films, acquiring ready made films from local producers and production houses such as album production and recording studio, outdoor advertising and as well conducts management events and talent management of artistes. The company has its operations across Malaysia and also in British Virgin Islands, Republic of Ghana, Labuan and Philippines.

1.2 KEY EMPLOYEE

Key employees are usually highly compensated. They may also receive special benefits as an incentive both to join the company and to stay with the company. "Key employee" is also a term used by the Internal Revenue Service in regard to company-sponsored defined contribution retirement plans to refer to an employee who owns more than 5% of the business, owns more than 1% of the business and has annual compensation greater than a certain amount or is an officer with compensation greater than a certain amount. There are other IRS and government rules that have different definitions of "key employee" for different purposes.

Media prima business involves people. To succeed, Media Prima must create a working environment where people can flourish. We are committed to training and development and to working practices which are as flexible as possible. Employing people from diverse backgrounds helps us to make programmers that are authentic and relevant to a wide range of viewers.

We employ around 1,924 staff in our TV, Radio networks and Outdoor media as of 31December 2009. While this does not represent the whole group, the employment figures represent about 70% of our total group of companies. We hope to be in a position to report our total staff strength by next year. As compared to 2008, our staff strength increased by 10%, primarily in our radio and TV networks.

1.4 MAJOR PRODUCT AND SERVICE

Media Prima offer various forms of product and services especially in entertainment, including radio, newspapers, strong online social networking. Media Prima owns the Hot FM, Fly FM and One FM radio stations. Fly FM is ranked the number one station for listeners aged 35 and below while Fly FM continues to grow and has strong core target group of listeners from age 18 to 30 year-olds. As for One FM, it is the fastest growing radio station which is popular amongst listeners under 35. Listeners under 35 has make up of 60% of the overall listenership of One FM.
